The transaction sets the stage for a strategic overhaul, including a proposed rebrand to Moon Inc., as the company shifts focus toward digital currency investments, Web 3.0 innovation, and digital asset opportunities in Asia’s financial hub.

- Majority Control Achieved: The investor consortium, led by UTXO Management and Sora Ventures, has secured a 70.26% stake in HK Asia Holdings. This positions the group to steer the company’s transformation into a leader in Hong Kong’s evolving digital economy.
- Proven Track Record: The acquiring team brings expertise from their success with Japan’s Metaplanet (3350:Tokyo ), a trailblazer in corporate bitcoin strategy. Local partners Top Legend SPC and Allied Top Investments add deep regional market insights to ensure Moon Inc.’s alignment with Hong Kong’s regulatory and economic landscape.
- Funding for Growth: Moon Inc. will issue HK 33.75million (approx.4.3 million USD) in convertible notes to bolster liquidity, fund operational needs, and pursue strategic investments. Upon conversion, the consortium’s ownership will rise to 74%, reinforcing their commitment to long-term value creation.
- Rebranding for a New Era: The transition to “Moon Inc.” reflects the company’s ambition to become a nexus for Web 3.0 development and digital asset innovation, capitalizing on Hong Kong’s status as a global financial gateway.
